1. Acceptance of Terms

Welcome to the AI computing service platform provided by ZHENG FU YUAN PTE. LTD. (hereinafter referred to as "we," "the Company," or "AI Compute"). These Terms of Service ("Terms") constitute a legally binding agreement between you and us. By registering an account, accessing, or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not use our services.

2. Service Description

AI Compute provides the following core services:

• GPU Rental Services: On-demand rental of high-performance GPU computing resources, supporting advanced chips such as A100 and H100
• AI Model Training: Large-scale distributed training environments supporting LLM, computer vision, and other deep learning tasks
• Inference Deployment: Deploy trained models as API services supporting high-concurrency real-time inference
• Model Fine-Tuning: Domain-specific fine-tuning based on pre-trained models
• Data Storage & Management: Secure cloud storage for datasets and model weight management
• Technical Support & Consulting: Professional technical team providing architecture design and performance optimization recommendations

We reserve the right to modify, suspend, or terminate any service at any time without prior notice. We will make every effort to notify users in advance of any service changes.

3. Account Registration & Security

3.1 Account Creation

To use our services, you need to create an account. You agree to provide accurate, complete, and up-to-date registration information. If the information you provide is inaccurate or incomplete, we reserve the right to suspend or terminate your account.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials (username and password)
• You are responsible for all activities that occur under your account
• Notify us immediately upon discovering unauthorized use or security vulnerabilities
• Do not share your account credentials with others
• Use strong passwords and change them regularly

3.3 Account Limitations

Each individual or entity may only hold one primary account. Creating multiple accounts to circumvent usage limits, obtain improper benefits, or engage in other abusive behavior is prohibited. Violations may result in permanent suspension of all related accounts.

4. Acceptable Use Policy

4.1 Permitted Uses

Our services are intended for lawful purposes only. You may use our platform for:

• Development, training, and deployment of artificial intelligence and machine learning models
• Scientific computing and high-performance computing tasks
• Data analysis and processing
• Content generation and creative work
• Other computing tasks that comply with applicable laws and regulations

4.2 Prohibited Activities

You agree not to engage in the following activities:

• Violating any applicable laws, regulations, or government orders
• Infringing upon the intellectual property rights, privacy rights, or other legitimate rights of others
• Distributing malware, viruses, trojans, or other harmful code
• Conducting cyberattacks, DDoS attacks, or unauthorized penetration testing
• Mining cryptocurrency or performing other unauthorized resource-intensive computations
• Sending spam or unsolicited commercial messages
• Attempting to bypass security measures or access controls
• Reverse engineering, decompiling, or attempting to extract source code
• Using the services for fraud, money laundering, or other illegal financial activities
• Generating or distributing hate speech, violent content, or child exploitation material
• Excessively consuming resources to the detriment of other users' normal usage
• Using the services for military, weapons development, or surveillance and oppression purposes

5. Fees & Payment

5.1 Pricing

Our service fees are based on the type, quantity, and duration of resources used. For specific pricing, please contact our sales team for a customized quote via the Contact Sales page. We reserve the right to adjust pricing at any time, with reasonable notice provided to existing customers.

5.2 Payment Methods

• We accept credit cards, bank transfers, and corporate invoicing
• For pay-as-you-go services, fees are settled periodically based on actual usage
• For subscription services, fees are charged in advance at the beginning of each billing cycle
• Enterprise customers may negotiate custom payment terms

5.3 Overdue Payments

In the event of overdue payment, we may:

• Suspend your services until outstanding amounts are paid
• Charge late fees (1.5% per month or the maximum rate permitted by law)
• Terminate your account and services
• Take legal action to recover outstanding amounts

5.4 Refund Policy

Unless required by law or expressly committed by us, all payments are non-refundable. If overcharging occurs due to our error, we will fully refund the difference. For service interruptions, we will provide proportional compensation for the affected period.

6. Intellectual Property

6.1 Our Intellectual Property

The AI Compute platform, software, algorithms, interface design, trademarks, logos, and all content are owned by ZHENG FU YUAN PTE. LTD. or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

6.2 Your Content

You retain all rights to the data, models, code, and content (collectively "User Content") that you upload to the platform. By using our services, you grant us a limited, non-exclusive, revocable license solely for the purpose of providing services to you. We do not claim ownership of User Content.

6.3 Feedback & Suggestions

If you provide us with feedback, suggestions, or improvement recommendations, you agree that we may freely use such information without any obligation or compensation to you.

7. Data Privacy & Security

We make the following commitments regarding your data privacy and security:

• Your data will be processed in accordance with our Privacy Policy
• We employ industry-standard encryption technology to protect data transmission and storage
• Strict access controls are implemented to ensure only authorized personnel can access your data
• Regular security audits and penetration testing are conducted
• We comply with Singapore's Personal Data Protection Act (PDPA) and related international data protection regulations

Despite reasonable security measures, you should be aware of the inherent risks of internet transmission. We cannot guarantee absolute security but will continue to strive to protect your information.

8. Service Level Agreement (SLA)

8.1 Availability Commitment

We are committed to providing 99.9% service availability (calculated monthly). Planned maintenance windows are not counted as downtime.

8.2 Compensation Mechanism

If service availability falls below the committed level, you will receive service credits as compensation:

• Availability 99.0% - 99.9%: 10% of monthly fees as credit
• Availability 95.0% - 99.0%: 25% of monthly fees as credit
• Availability below 95.0%: 50% of monthly fees as credit

Service credits are your sole remedy and cannot be exchanged for cash.

9. Disclaimer & Limitation of Liability

9.1 "As Is" Provision

Except as expressly stated in these Terms, our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation of Liability

To the maximum extent permitted by law, ZHENG FU YUAN PTE. LTD. and its directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, business interruption, data loss, or goodwill damage
• Any claims arising from the use or inability to use the services

Our total liability shall not exceed the total fees you have paid to us in the 12 months preceding the claim.

9.3 Force Majeure

We shall not be liable for service interruptions or delays caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government actions, power failures, internet infrastructure issues, etc.

10. Service Termination

10.1 Termination by You

You may terminate your use of our services at any time by closing your account. Fees incurred prior to termination remain payable.

10.2 Termination by Us

We may suspend or terminate your account in the following circumstances:

• Violation of any provision of these Terms of Service
• Suspected fraud, abuse, or illegal activities
• Prolonged inactivity (no activity for more than 12 months)
• Court orders or legal requirements
• To protect the safety of other users or the public

Except in emergency situations, we will provide 30 days' notice of termination. After termination, you may not be able to access data in your account; please back up important information in advance.

11. Modification of Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated through:

• Prominent announcements on the website
• Email notifications to your registered email address
• Display of prompts upon next login

If changes materially affect your rights, we will provide at least 30 days' notice. Continued use of the services constitutes acceptance of the revised Terms. If you do not agree to the changes, you should terminate your use before the effective date.

12. Dispute Resolution

12.1 Amicable Negotiation

In the event of a dispute, both parties shall first attempt to resolve it through amicable negotiation. Either party may initiate the negotiation process by providing written notice to the other party, with a negotiation period of 30 days.

12.2 Arbitration

If negotiation fails to resolve the dispute, either party may submit the dispute to the Singapore International Arbitration Centre (SIAC) for arbitration in accordance with its arbitration rules. The place of arbitration shall be Singapore, and the language of arbitration shall be English. The arbitral award is final and binding on both parties.

12.3 Governing Law

These Terms of Service shall be governed by the laws of the Republic of Singapore, without regard to its conflict of laws principles.

13. General Provisions

13.1 Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and us regarding the use of the services, superseding all prior oral or written communications and agreements.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right under these Terms does not constitute a waiver of that right. Any waiver must be made in writing.

13.4 Assignment

You may not assign any rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations.

13.5 Third-Party Beneficiaries

These Terms are for the benefit of you and us only and do not create any rights in favor of third parties.
